About This Course

This course provides an overview of international contracts that govern international business transactions. The main legal issues in these contracts are reviewed, including choice of law/conflict of law and forum selection/forum non conveniens. You will learn about different types of choice of law provisions, the difference between lex fori and lex causae, forum selection for disputes and how forum selection is challenged in court. You will be introduced to uniform and model laws that can be used in an international contract. You will also gain an understanding of the different types of clauses that can be used in an international contract, all designed to increase the reliability and predictability of the business relationship. Finally, you will explore three case studies which will allow you to see all of these legal rules in action and give you a practical understanding of the concepts discussed.

Sheerin Kalia, B.Soc.Sc, LL.B., is an experienced lawyer, called to the bars of Ontario and British Columbia in 1999. She has practiced law as both a litigator and solicitor and has advised 4 top banks on HR, business law and international projects in Canada and abroad. These projects have allowed her to work closely with business managers and colleagues in HR, Compliance, Risk, and Marketing. She has directed and managed counsel in many countries and various regions, drafted and negotiated contracts, and advised on various strategic projects. She has taught International Business Law, Canadian Business Law, Business Ethics, and courses in Human Resources Management at the college and university levels. As a result of her practical approach to teaching and her ability to provide simple explanations of complex areas of the law, Ms. Kalia was nominated as one of Ontario's Best Lecturers in 2007. In 2010, her first book entitled: International Business Law for Canadians: A Practical Guide was published by Lexis Nexis. In 2012, she was a visiting scholar at the University of Chile, School of Law and Osgoode Hall Law School. She has also written book chapters and articles on many different areas of business law. Given her interest in statistical analysis of law, she recently completed a Certificate in Business Decision Analysis, which included statistics, calculus and business forecasting techniques.
